Service Agreement
Effective Date: The Agreement takes effect from the date of service purchase or sign-up.
1. Scope of Services
The Service Provider agrees to offer various services as detailed on the Service Provider’s website or in service descriptions provided at the time of purchase.
2. Client Obligations
2.1. Provision of Information: The Client is obliged to provide accurate and complete information necessary for the Service Provider to deliver the services effectively.
2.2. Communication: The Client must maintain active communication channels with the Service Provider for consultations, feedback, and approvals.
2.3. Compliance: The Client agrees to comply with all relevant laws and regulations in their use of the services provided.
2.4. Payment: The Client agrees to adhere to the specified payment schedule and acknowledges that failure to make timely payments may result in suspension or termination of services.
3. Amendments and Revisions
The Service Provider reserves the right to amend services or terms within this Agreement with prior notice to the Client. Continued use of services after such changes constitutes acceptance of the new terms.
4. Warranties and Representations
Both parties warrant that they have the power and authority to enter into this Agreement. The Service Provider does not warrant that the services will be uninterrupted or error-free but will make reasonable efforts to ensure reliability.
5. Confidentiality
Both parties agree to treat all confidential information received from the other party as confidential, not to disclose it to third parties, and to use it solely for purposes related to this Agreement.
6. Intellectual Property Rights
All intellectual property rights in the deliverables produced as a result of the Services shall remain the exclusive property of the Service Provider unless otherwise agreed in writing.
7. Limitation of Liability
The Service Provider’s total liability under this Agreement shall be limited to the total fees paid by the Client for the Services.
8. Termination
This Agreement may be terminated by either party with written notice if the other party materially breaches any of its terms and fails to correct the breach within a reasonable period.
9. Dispute Resolution
This Agreement is governed by and defined following the laws of India. Analogic Networks Private Limited and you irrevocably consent that the courts of Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction to resolve any dispute that may arise in connection with this Agreement.
10. Miscellaneous
10.1. Force Majeure: Neither party shall be liable for delays caused by events beyond their reasonable control.
10.2. Entire Agreement: This document represents the entire agreement between the parties and supersedes all previous communications.
10.3. Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in effect.
11. Acknowledgment and Acceptance
By purchasing services from Analogic Networks Private Limited, the Client acknowledges they have read, understood, and agree to be bound by the terms and conditions of this Service Agreement.
